- Record Net Sales of $458.1 million, up 6.2 Percent from Prior Year and up 3.4 Percent Sequentially(PRNewswire) — Microsemi Corporation (Nasdaq: MSCC), a leading provider of semiconductor solutions differentiated by power, security, reliability and performance, today reported unaudited results for its third quarter of fiscal year 2017 ended July 2, 2017.
Net sales for Microsemi's third quarter of fiscal year 2017 were a record $458.1 million, up 6.2 percent from the $431.4 million in the prior year third quarter and up 3.4 percent from $442.9 million in the second quarter of 2017.
GAAP gross margin for the third quarter of 2017 was 63.9 percent, up 200 basis points from the 61.9 percent in the third quarter of 2016. GAAP operating income and net income for the third quarter of 2017 were $70.0 million and $13.6 million, respectively, and included restructuring, severance and other charges of $11.6 million. Also included in net income were amortization of intangible assets of $49.6 million, stock based compensation of $16.7 million, debt extinguishment charges of $33.2 million and other non-cash charges of $3.1 million. GAAP operating margin for the third quarter of 2017 was 15.3 percent, up 340 basis points compared to 11.9 percent for the third quarter of 2016. GAAP net income per diluted share was $0.12 for the third quarter of 2017 compared to $1.00 per diluted share for the third quarter of 2016 and $0.35 per diluted share for the second quarter of 2017.
Non-GAAP gross margin for the third quarter of 2017 was 63.9 percent, up 200 basis points from the 61.9 percent in the third quarter of 2016. Non-GAAP operating income for the third quarter of 2017 was $147.9 million, up 20.5 percent from the third quarter of 2016 and up 7.5 percent from the second quarter of 2017. Non-GAAP operating margin for the third quarter of 2017 was a record 32.3 percent, up 380 basis points from 28.5 percent in the third quarter of 2016 and up 120 basis points from 31.1 percent in the second quarter of 2017. Non-GAAP net income for the third quarter of 2017 was $116.0 million or $0.99 per diluted share.
Operating and free cash flows for the third quarter of 2017 were at $118.7 million and $108.1 million, respectively. Cash and cash equivalents at the end of the third quarter of 2017 were $166.4 million.

Microsemi currently expects net sales in the fourth quarter of fiscal year 2017 of between $463 million and $487 million, and expects non-GAAP diluted earnings per share of between $1.02 and $1.14.
